Baker Tilly is growing its M&A Tax practice based in our new headquarters in New York City, where you will join a dedicated team serving private equity clients on middle-market transactions. We are seeking a Director with deep M&A Tax and private equity experience to help lead this next stage of growth.
Our M&A Tax team advises private equity sponsors and portfolio companies on both buy-side and sell-side transactions, including tax due diligence, transaction tax structuring, quantitative tax modeling, and the tax provisions of purchase agreements and other transaction documents. The successful candidate will combine deep corporate and flow-through transaction tax expertise with strong commercial judgment and the ability to lead complex transactions alongside investment professionals, management teams, investment bankers, and legal counsel.
Our M&A Tax culture is entrepreneurial and collaborative across levels. We operate as a national M&A Tax practice with strong regional connectivity, and the New York team has meaningful visibility to leadership across Financial Advisory Services. Principals and Managing Directors stay closely involved in deal execution, client relationships, and team development.
In this role, you will lead significant new and existing private equity relationships and related transactions, develop professionals across levels and geographies, and work across Baker Tilly's national platform to grow the practice. The environment provides substantial room for an ambitious, team-oriented leader to build a business, shape the team, and have a visible impact on the broader Financial Advisory Services division.
If you are a strategic, entrepreneurial leader who enjoys winning in the market, developing people, and working shoulder-to-shoulder with colleagues on complex deals, we invite you to help build the next chapter of Baker Tilly's M&A Tax practice.
You will enjoy this role if
- You are excited to partner closely with M&A Tax Principals and Managing Directors to drive growth in the practice nationally but primarily in NYC
- You have entrepreneurial savvy and can market-source new Private Equity clients, projects, and business
- You take a strategic approach to the execution of client work and Firm responsibilities; are consulted by clients on important business and strategic decisions; and implement new ideas in an effort to improve processes and achieve better results
- You want to work for a leading advisory firm that is growing and creating exceptional opportunities
- You are passionate about contributing to your team's professional growth and development, creating opportunities for others as well as yourself
- You set yourself apart as a role model for others and inspire others to do the same
- You are someone who treats all principals, employees, and clients with respect and is timely and responsive, listens well, considers others' points of view, and is intolerant of disrespectful or unethical behavior
What You Will Do
- Advise and influence substantial Private Equity client relationships to achieve functional objectives and strengthen relationships
- Provide value-added services that are critical to our ability to obtain and serve Private Equity clients
- Address complex M&A tax-related client matters through both innovative and established approaches
- Lead tax due diligence for both buy-side and sell-side transactions, including risk identification, technical analysis, client communication, and the development of clear, decision-useful findings.
- Lead the tax analysis and negotiation of purchase agreements and other transaction documents, working directly with legal counsel and client deal teams, and oversee high-quality client deliverables.
- Lead transaction tax structuring and quantitative tax modeling, including evaluation of alternative structures, tax impacts, negotiation considerations, and post-acquisition planning.
- Utilize your entrepreneurial skills to network and build strong relationships internally and externally with the goal of acquiring new Private Equity clients, projects, and revenue
- Collaborate with our Financial Due Diligence team and other advisory leaders on integrated deals, while leveraging Baker Tilly's national and regional platform to develop and execute growth strategies.
- Be responsible for mentoring our people
- Represent Baker Tilly in the marketplace through activities such as speaking at conferences, authoring articles, participating in marketing and recruiting activities, and enhancing the global brand of the Firm
