Role : Senior Counsel

Location : ADIB HQ

Role Purpose

Reporting to the Head of Retail and General Legal Services, the candidate’s duties and responsibilities shall include the following:

Key Accountabilities of the role

• Develop, review, negotiate and amend all forms of IT contracts including without limitation Software Licence and Hardware Agreements, Professional Services Agreements, Maintenance Contracts, Re-Seller Agreements;
• Negotiate and amend Lease Agreements, Real Estate Developer Agreements, Partnership Agreements, Loyalty Program Agreements, Services Agreements;
• Draft and negotiate Confidentiality/Non-Disclosure Agreements, Memorandum of Understanding, Letters of Intent and Purchase Orders;
• Research and revise all above mentioned forms of contracts and agreements to ensure compliance with new laws, regulations, standards and Shari’a compliant resolutions and fatawa;
• Develop new terms and conditions of banking products and services;
• Instruct, take a lead and work closely with external counsel, internal stakeholders and vendors on special projects from beginning to successful closure within budget allocation and agreed turnaround times; and
• Assist and support team members on special tasks and projects; and
• Provide legal consultation and advisory services to business in English and Arabic.
• Advising on Corporate Finance and Investment Banking matters including reviewing, amending and negotiating syndication transaction documentation, security documentation, NDAs and credit support documentation.
• Instructing external law firms, reviewing and negotiating engagement letters and legal opinions

Specialist Skills / Technical Knowledge Required for this role

• Excellent drafting and negotiation skills in both English and Arabic;
• Good communication skills with an eye for details;
