About the Role

Happen Bank is seeking a Sr Corporate Counsel to provide strategic legal guidance and transactional support across our consumer lending partnerships and investor marketplace businesses. In this role, you'll draft and negotiate complex commercial agreements, advise on lending programs across home improvement, home equity, and auto lending, and support institutional loan sales and securitization transactions.

You'll partner closely with business leaders, Legal, Compliance, Finance, and other cross-functional teams to navigate complex transactions, manage legal risks, and enable responsible business growth in a fast-paced, regulated environment.

What You'll Do

Draft and negotiate complex commercial agreements with strategic partners, including lending platforms, networks, and referral partners, supporting Happen Bank's home improvement, home equity, and auto lending programs

Develop and maintain standardized agreements, negotiation playbooks, and fallback positions that enable efficient, consistent onboarding of strategic partners

Provide day-to-day legal guidance on lending program structures, new launches, product changes, partner performance, and disputes, helping business teams navigate legal risks and achieve business objectives

Serve as a trusted legal advisor to Happen Bank's investor marketplace business, supporting investor onboarding, marketplace operations, and ongoing legal matters

Draft and negotiate loan sale and servicing agreements and related documentation for sales of the Bank's consumer loans to institutional investors

Partner with Capital Markets, Finance, Credit, and outside counsel to support securitization transactions

Manage legal aspects of transactions throughout their lifecycle, including closing deliverables, amendments, investor inquiries, diligence requests, and repurchase or breach claims

Develop and maintain a practical understanding of applicable legal and regulatory requirements for consumer lending, loan sales, and securitizations, including consumer protection, fair lending, privacy, and banking regulations, escalating matters to Regulatory Counsel and Compliance as appropriate

Contribute to Legal Department and cross-functional initiatives, projects, and other business priorities as needed

About You

6+ years of experience in corporate transactions, commercial contracting, securities, or a related legal practice, gained through law firm and/or in-house experience

Juris Doctor (J.D.) degree and active membership in good standing with a state bar

Strong legal drafting, negotiation, analytical, and problem-solving skills, with the ability to navigate complex commercial transactions and deliver practical, business-oriented legal advice

Experience managing multiple transactions and competing priorities independently, with strong organization, attention to detail, and proactive deadline management

Strong communication and relationship-building skills, including the ability to listen effectively, adapt your communication style, and influence stakeholders across different functions and levels

Strong business judgment with the ability to understand how legal considerations intersect with commercial, operational, financial, and regulatory objectives

You thrive in a fast-paced, evolving environment, approach challenges with curiosity and flexibility, and proactively identify solutions while taking ownership of outcomes

Genuine interest in consumer lending, fintech, and emerging business models, with a willingness to learn new areas and contribute beyond your immediate responsibilities

Strong proficiency with office productivity applications and other tools that support legal drafting, document management, and transactional workflows

You have hands-on experience using AI tools to improve legal research, drafting, document review, diligence, and contract management, and you're comfortable sharing effective approaches with colleagues while applying sound judgment around accuracy, confidentiality, privilege, and appropriate human oversight
